Vadsen provides AI automation, web conversion infrastructure, AI voice systems, business automation audits, website builds, and related consulting or implementation services.

Specific deliverables, timelines, pricing, responsibilities, and payment terms are defined in written proposals, statements of work, invoices, or separate agreements between Vadsen and the client.

Submitting a form, booking a call, or requesting an audit does not create a client relationship by itself. A client relationship begins only when both sides agree to proceed under clear commercial terms.

Clients are responsible for providing accurate information, timely feedback, required access, brand assets, account permissions, and approvals needed to complete the work.

Fees, payment schedules, deposits, retainers, refunds, late payment terms, and cancellation terms are governed by the relevant proposal, invoice, or written agreement.

Unless otherwise agreed in writing, work may pause if required payments are overdue.

Vadsen retains ownership of pre-existing tools, frameworks, processes, templates, know-how, reusable code, internal systems, and methods developed before or outside a specific client project.

Client-owned materials remain the client-owned materials. Ownership of final deliverables is handled according to the applicable proposal, invoice, or written agreement.

Some services may rely on third-party platforms such as hosting providers, CRMs, automation tools, AI providers, analytics platforms, payment processors, scheduling tools, or communication services.

Vadsen is not responsible for outages, pricing changes, policy changes, data loss, account restrictions, or failures caused by third-party platforms.

We build systems with the goal of improving revenue capture, operations, conversion, and automation outcomes. However, business results depend on many factors outside our control, including offer quality, traffic, sales process, pricing, market conditions, and client execution.

We do not guarantee specific revenue, profit, conversion, ranking, or performance results unless expressly stated in a signed written agreement.

To the maximum extent permitted by law, Vadsen is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.

Where liability cannot be excluded, our total liability is limited to the amount paid to Vadsen for the specific service giving rise to the claim, unless a separate written agreement says otherwise.

We may update these Terms and Conditions from time to time. The latest version will be posted on this page with the effective date shown below.
